1. Agreement to Terms 

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and ForwardIQ ("ForwardIQ," "we," "us," or "our") governing your access to and use of the ForwardIQ website located at forwardiq.io and any related software, platform, applications, and services (collectively, the "Service"). 

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. 


2. Eligibility and Accounts 

You must be at least 18 years of age and capable of forming a binding contract to use the Service. To access certain features, you must register for an account and provide accurate, current, and complete information. 

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately at jose@forwardiq.io of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your credentials. 


3. Subscriptions, Fees, and Payment 

Certain features of the Service are provided on a subscription basis. By selecting a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually) according to your selected plan. 

Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal. You authorize us to charge your designated payment method for all recurring fees. All fees are exclusive of applicable taxes, which you are responsible for paying. 

Except as required by law or expressly stated in these Terms, all payments are non-refundable. We reserve the right to change our fees upon reasonable advance notice, with changes taking effect at the start of your next billing cycle. 


4. Acceptable Use

You agree not to use the Service in any manner that is unlawful, harmful, or that violates these Terms. Without limitation, you agree that you will not: 

• Violate any applicable law, regulation, or third-party right; 

• Access or attempt to access the Service through any means other than the interfaces we provide, or reverse engineer, decompile, or disassemble any part of the Service; 

• Introduce malware, viruses, or any code designed to disrupt or impair the Service; • Attempt to gain unauthorized access to any systems, accounts, or data; 

• Use the Service to send unsolicited communications, spam, or to harvest data in violation of applicable law; 

• Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent; • Use the Service in a way that imposes an unreasonable load on our infrastructure or interferes with other users. 

We reserve the right to investigate and take appropriate action, including suspending or terminating your access, against anyone who violates this section. 


5. Intellectual Property 

The Service, including all software, text, graphics, logos, designs, and other content (excluding Customer Data), is owned by ForwardIQ or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. 

You retain all rights to data, content, and materials you submit to the Service ("Customer Data"). You grant ForwardIQ a worldwide, non-exclusive license to host, process, and use Customer Data solely as necessary to provide and improve the Service. 


6. Confidentiality and Data Privacy 

Each party may have access to confidential information of the other. Each party agrees to protect the other's confidential information using reasonable care and to use it only as necessary to perform under these Terms. 

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to the practices described therein. 


7. Third-Party Services 

The Service may integrate with or provide access to third-party services, websites, or applications. We do not control and are not responsible for third-party services, and your use of them is governed by their respective terms. We make no warranties regarding any third-party service. 


8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, FORWARDIQ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 

We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected. You assume full responsibility for your use of the Service. 


9. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY LAW, FORWARDIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. 

IN NO EVENT WILL FORWARDIQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO FORWARDIQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 


10. Indemnification 

You agree to indemnify, defend, and hold harmless ForwardIQ and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms or applicable law. 


11. Term and Termination 

These Terms remain in effect for as long as you use the Service. You may terminate your account at any time by discontinuing use and cancelling any active subscription. We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms. 

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive. 


12. Governing Law and Dispute Resolution 

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts. 


13. Changes to These Terms 

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
